These are the Terms & Conditions for working with Well Composed Business Services.
Please know that anything indicated in our custom agreement with you overrides what is indicated here. Likewise, anything indicated here is deemed to be part of our custom agreement even if it is not specifically indicated in our agreement with you.
Service Agreement: you, your business or organization, is required to sign a Service Agreement with us. This document details the terms of the work, including what service(s) are to be performed, rates, timelines and responsibilities from all parties involved. Know that this is a legally binding contract. Should you take exception to, or wish to discuss any details, this should occur prior to signing the document.
Content: in terms of content, we reserve the right to turn away material or content that we deem as inappropriate and/or against our company policy. In addition, any content that is illegal or defamatory in nature will not be accepted. Also, any work that appears to be plagiarized or you cannot provide proof to be the original author, is unacceptable and we will refuse to continue the work. Requests for copies made of other original content is also unacceptable. Note that we assume all work that you submit for minutes/transcription is your original content and you are responsible to ensure that.
Timelines: we require you to give a time frame that you need your minutes/transcription to be completed. Should that date change, we need to be notified as soon as possible. We cannot be held responsible for material that is not prepared in a timely manner, if we have not been provided with all of the information and particulars that we need to complete your work. Also, it is required that you stay in communication with us so we may follow through on the work as promised.
Corruption & Viruses: we require that you ensure if you have uploaded files, that they do not contain viruses or are corrupted. We are not responsible for missed deadlines or promises of minutes/transcription work should we need to wait for you to resolve file corruption or virus issues.
Quotes: note that we provide a quote and timeline in good faith based on what information has been made available to us from you. We take every reasonable measure to ensure that your quote is close to the final amount. However, during minute taking or transcription should we find the quality of the audio/video, the number of speakers or the detail of the content to become a challenge, we may need to increase the amount of the completed minutes/transcription. As you are required to pay in advance of minutes/transcription work being started, the remainder of the payment will be required to be remitted before final delivery of your completed minutes/transcription. Likewise, in the case of transcriptions, if it proceeds faster than anticipated, you will be credited with the appropriate amount.
Acceptance of Terms & Conditions: you are deemed to have read and understood the Terms & Conditions as outlined here and in your Agreement with us. This is implied through your action of engaging and/or uploading and sending your audio/video files to us. It is advisable that after you read these Terms & Conditions that you bring to our attention any issues before we start your minutes/transcription work. Anything that occurs as a result of your negligence in this regard is your responsibility and any outcome is not our concern.
